2. Services
2.1 Right to Use
Subject to the terms and conditions of this Agreement, Helm AI grants Customer and its Authorized Users a non-exclusive, worldwide, non-transferable, non-sublicensable right during the Term to access and use the Services solely for Customer's internal business purposes, in accordance with the Documentation. Except as expressly set forth herein, no express or implied license or right of any kind is granted to Customer regarding the Services or any part thereof. Customer is responsible for any breach of this Agreement by Authorized Users. Helm AI may update, enhance, modify, or discontinue features of the Services from time to time, provided that the functionality of the Services, taken as a whole, will not materially diminish during the Term.
2.2 Restrictions
Customer agrees that it will not, and will not permit any Authorized User or other party to, directly or indirectly:
- modify, adapt, alter or translate the Services, except as expressly allowed herein;
- sell, resell, sublicense, lease, rent, loan, distribute, or otherwise transfer the Services to any third party;
- reverse engineer, decompile, disassemble, or otherwise derive or determine or attempt to derive or determine the source code (or the underlying ideas, algorithms, structure or organization) of the Services;
- input any sensitive or regulated data, including without limitation, sensitive personal information, data subject to HIPAA or PCI DSS, social security numbers, banking or credit card information, biometric identifiers, or similar highly sensitive data, into the Services;
- use or copy the Services except as expressly allowed under this Agreement or in violation of any applicable laws, rules, or regulations, including applicable export control, sanctions, anti-boycott, data protection, and artificial intelligence laws of any relevant jurisdiction;
- use the Services or any Output as the sole or primary basis for any automated or semi-automated decision that produces legal or similarly significant effects concerning any individual in connection with employment, compensation, promotion, disciplinary action, termination, credit, housing, insurance, public benefits, or other high-risk determinations, without appropriate human review and independent judgment;
- use the Services or any Output to discriminate against, profile, or otherwise adversely affect individuals on the basis of any protected characteristic under applicable law, including race, color, religion, sex, national origin, disability, age, or any other characteristic protected by federal, state, or local law; or
- use the Services or any Output as a substitute for the advice or judgment of a licensed legal, medical, financial, accounting, or other licensed professional, or in any context requiring a professional license or credential that Customer or its Authorized Users do not hold.
Customer acknowledges that the Services, including artificial intelligence features and Outputs, are designed to support business planning and goal management workflows and are not intended to serve as the sole basis for employment, compensation, promotion, disciplinary, termination, legal, tax, accounting, medical, or other high-risk decisions. Customer will not use, and will not permit others to use, Outputs as the sole basis for any employment-related or similarly material decision without appropriate human review and independent judgment.
2.3 Obligations
Customer agrees that Customer Content and the use of Customer Content as provided by Customer and contemplated by this Agreement will not:
- infringe, violate, or misappropriate any third-party right, including any intellectual property right;
- slander, defame, libel, or invade the right of privacy, publicity, or other property rights of any other person;
- violate, or cause Helm AI to violate, any applicable law or regulation, including any applicable artificial intelligence, automated decision-making, or data protection law or regulation (including, without limitation, the EU AI Act, the EU General Data Protection Regulation, the California Consumer Privacy Act, and any successor or analogous laws);
- be deceptive, obscene, pornographic, or unlawful; or
- contain any viruses, worms, or other malicious computer programming codes intended to damage Helm AI's system or data.
Helm AI reserves the right (in addition to any other rights or remedies Helm AI may have) to temporarily suspend all Authorized Users' and Customer's access to the Services if Helm AI reasonably determines there has been a material violation of this Section 2.3 or a security breach caused by Customer and, after consultation with Customer, terminate such access if appropriate.
Customer acknowledges and agrees that due to the nature of artificial intelligence and machine learning, use of the Services may in some situations result in incorrect or inaccurate Output. Customer must verify the accuracy and appropriateness of any Output before relying on any such Output and relying upon any Output without first verifying accuracy with a qualified human could cause harm, including but not limited to legal, financial, and physical harm.
Customer has no rights to any information, including Output, that is generated from the Services by or for other Helm AI users, regardless of any level of similarity to Output provided to Customer. Helm AI cannot control, and has no duty to take any action, regarding how Customer may interpret, rely on, or use any Output or what actions Customer may take as a result of having been exposed to Output, and Customer hereby releases Helm AI from all liability for Customer having acquired or not acquired Output through the Services except as otherwise set forth herein.
2.4 Beta Features and Functionality
Any alpha, beta, preview, trial, or early access features made available by Helm AI are provided "as is," may be discontinued at any time, and are excluded from any warranties, service commitments, indemnities, and support obligations unless expressly stated otherwise in writing.
3. Ownership Rights
3.1 Helm AI Intellectual Property Rights
Except as expressly and unambiguously set forth herein, as between the Parties, Helm AI and its licensors retain all right, title, and interest, including all Intellectual Property Rights, in and to the Services, Helm AI Confidential Information, Helm Technology, Documentation, Usage Data, Aggregated or Deidentified Data, and all related intellectual property rights. No rights are granted to Customer except as expressly set forth in this Agreement.
3.2 Customer IP Rights
Customer shall retain all right, title, and interest in and to the Customer Content, including all Intellectual Property Rights therein, which for clarity is Customer Confidential Information. Helm AI is not obligated to back up Customer Content and it may be deleted without notice. Helm AI will not use Customer Content or Outputs to train generally available foundation models or other generalized artificial intelligence models intended for use across Helm AI's customer base. For clarity, Helm AI may use Customer Content to provide the Services, generate Outputs for Customer, perform customer-specific retrieval or processing necessary to operate the Services, and create Aggregated or Deidentified Data and Usage Data.
3.3 Output
Helm AI will use Customer Content to generate Output. Subject to Customer's compliance with this Agreement, Helm AI hereby assigns to Customer all of its rights, title and interest (if any) in and to the Output. The Services may provide the same or similar Output to others, and Helm AI's assignment to Customer in the preceding sentence does not apply to any outputs resulting from other users' use of the Services.
3.4 Feedback
Customer may (but is not obligated to) provide suggestions, comments or other feedback to Helm AI with respect to the Services ("Feedback"). Customer grants to Helm AI a nonexclusive, worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free, fully paid-up license to fully use and exploit the Feedback for any purpose.
4. Third Party Services
Customer may access or choose to integrate (thereby instructing Helm AI to share Customer Content and other data with) or use certain third-party websites, products, applications, services or other technology, and any related content, with or in connection with the Services ("Third-Party Services"). Helm AI has no control over, and assumes no responsibility for, the content, accuracy, privacy policies, practices of or opinions expressed in any Third-Party Services or by any provider of Third-Party Services (a "Third-Party Provider"). Helm AI will not and cannot monitor, verify, censor or edit the content of any Third-Party Services. Customer releases and holds Helm AI harmless from any and all liability arising from Customer's use of or integration with any Third-Party Services.
5. Fees; Payments; Taxes
Customer shall pay Helm AI fees as set forth in each Order Form ("Fees"). Unless otherwise specified in an Order Form, all Fees shall be invoiced in advance at the beginning of each Term (as defined below) and all invoices issued under this Agreement are payable in U.S. dollars within thirty (30) days from the date of invoice. Past due invoices are subject to interest on any outstanding balance of the lesser of 1.5% per month or the maximum amount permitted by law. Customer shall be responsible for all taxes associated with the Services (excluding taxes based on Helm AI's net income). All Fees paid are non-refundable and are not subject to set-off.
6. Confidentiality; Data Privacy
6.1 Confidential Information
"Confidential Information" means business, technical and financial information that is the confidential property of the disclosing party and its licensors, and either designated in writing as confidential or disclosed in a manner that a reasonable person would understand as confidential. Confidential Information does not include information that (i) is previously known to the receiving party without restriction on disclosure; (ii) is or becomes known to the general public through no act or omission by the receiving party; (iii) is disclosed to the receiving party by a third party without breach of any separate obligation; or (iv) is independently developed by the receiving party.
Except as expressly and unambiguously allowed herein, the receiving party will hold in confidence and not use or disclose any Confidential Information and shall enter into written agreements with all third parties who have access to Confidential Information containing obligations that are at least as protective of Confidential Information as this Agreement.
If required by law, the receiving party may disclose Confidential Information but will give adequate written prior notice of such disclosure to the disclosing party (to the extent legally permissible) to permit the disclosing party to intervene and request protective orders or other confidential treatment therefor.
The provisions of this Section will remain in effect during the Term and for a period of five (5) years after the expiration or termination thereof, except with regard to trade secrets of the disclosing party, which will be held in confidence for as long as such information remains a trade secret.
6.2 Return or Destruction
Promptly after disclosing party's request, receiving party agrees to return or destroy disclosing party's Confidential Information; provided, however, that receiving party shall be entitled to retain copies of Confidential Information solely to the extent necessary for purposes of such party's ordinary course records retention and backup policies and procedures, or to comply with applicable law, provided that such Confidential Information is treated as such for so long as it is retained. Each party acknowledges the irreparable harm that improper disclosure of Confidential Information may cause; therefore, the injured party will be entitled to seek immediate injunctive and other equitable relief, in addition to all other remedies, for any violation or threatened violation of this Section.
6.3 Data Privacy and Security
Use of the Services may involve the transmission of personal information which is governed by the Privacy Policy, made available at helmapp.ai/privacy. Helm AI maintains technical and organizational measures designed to protect the confidentiality, integrity, availability, and security of the Services and Customer Content, as more fully described in the Data Protection Addendum available at helmapp.ai/dpa, which agreement is hereby incorporated into and shall be fully governed by this Agreement if and to the extent applicable.
7. Term and Termination
7.1 Term
Subject to earlier termination as expressly provided for in this Agreement, the initial Term of this Agreement shall be for the Term specified in the Order Form, or in the event of multiple Order Forms, until the Term of all Order Forms has expired. Each Order Form and this Agreement shall automatically renew after the initial Term and any renewal Term for a renewal Term equal to the expiring Term, unless either party provides to the other at least forty-five (45) days prior written notice that it will not renew. Fees shall increase by no more than the greater of 7% or CPI upon renewal.
7.2 Termination for Cause
Either party may terminate this Agreement or an Order Form for cause:
- if the other Party is in material breach under this Agreement and fails to cure such breach within thirty (30) days of receipt of written notice of such material breach (ten (10) days written, including via e-mail, notice for failure to pay Fees when due and payable); or
- immediately if the other Party becomes the subject of a petition in bankruptcy or any other proceeding relating to insolvency, receivership, liquidation or assignment for the benefit of creditors.
Upon any termination for cause by Customer, Helm AI shall refund to Customer any prepaid, unused fees applicable to the remaining portion of the Term following the effective date of termination.
7.3 Effect of Termination
Upon expiration or earlier termination of this Agreement, Customer shall immediately discontinue use of the Services and all rights and obligations will immediately terminate, except that any terms or conditions that by their nature should survive such termination will survive, including Sections 3–12. No expiration or termination will affect Customer's obligation to pay all Fees due, whether invoiced or not, before such expiration or termination, or entitle Customer to any refund, except for termination for cause by Customer as expressly set forth in Section 7.2, above. Customer is solely responsible for exporting and retaining copies of any Customer Content uploaded to the Services. Thirty days (30) after termination of Customer's account, Customer will lose access rights to any Customer Content uploaded to or generated by the Services.
8. Limited Warranty; Disclaimer
8.1 Mutual Warranties
Each party represents and warrants that it (i) is duly organized and validly existing under the laws of the jurisdiction in which it is organized; (ii) has full power and authority, and has obtained all approvals, permissions and consents necessary, to enter into this Agreement, to perform its obligations and to grant the rights hereunder; (iii) this Agreement is legally binding upon it and enforceable in accordance with its terms; and (iv) the execution, delivery and performance of this Agreement does not and will not conflict with any agreement, instrument, judgment or understanding, oral or written, to which it is a party or by which it may be bound.
8.2 Helm AI Limited Warranty
Helm AI represents and warrants to Customer that (i) the Services will be provided in a professional and workmanlike manner and (ii) the Services will perform in accordance with the Documentation in all material respects. In the event that the Services fail to satisfy the warranty in the foregoing sentence, Helm AI will, at its own expense, and as Customer's sole and exclusive remedy (1) promptly replace the Services with a solution that materially conforms to the Documentation, (2) promptly repair the Services so that they materially conform to the Documentation or (3) if Helm AI is unable to promptly replace or repair the Services, either party shall have the right to terminate the impacted Services. This Section 8.2 sets forth Customer's sole and exclusive remedy for breaches of the warranties contained herein.
8.3 Disclaimer of Warranties
EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE SERVICES AND HELM TECHNOLOGY (AND ANY PORTION THEREOF, INCLUDING OUTPUT) ARE PROVIDED "AS IS" AND "AS AVAILABLE" AND ARE WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTIES IMPLIED BY ANY COURSE OF PERFORMANCE, USAGE OF TRADE, OR COURSE OF DEALING, ALL OF WHICH ARE EXPRESSLY DISCLAIMED. HELM AI DOES NOT WARRANT THAT THE SERVICES OR ANY HELM TECHNOLOGY WILL MEET CUSTOMER'S REQUIREMENTS OR RESULT IN ANY OUTCOME, OR THAT THEIR OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE. HELM AI FURTHER MAKES NO REPRESENTATION OR WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE ACCURACY, ADEQUACY, VALIDITY, RELIABILITY, AVAILABILITY, OR COMPLETENESS OF ANY INFORMATION, INCLUDING BUT NOT LIMITED TO ANY OUTPUT.
9. Indemnification
9.1 Helm Indemnity
Helm AI will defend Customer against any third-party claim alleging that Customer's authorized use of the Services infringes or misappropriates such third party's U.S. patent, copyright, trademark, or trade secret, and will indemnify Customer against damages, costs, and reasonable attorneys' fees finally awarded by a court of competent jurisdiction or agreed in settlement by Helm AI in connection with such claim.
Helm AI will have no obligation under this Section 9.1 to the extent the claim arises from: Customer Content or Outputs; modifications to the Services not made or expressly approved by Helm AI; use of the Services in combination with products, services, data, or processes not provided or explicitly approved by Helm AI, if the claim would not have arisen but for such combination; use of the Services in violation of this Agreement or the Documentation; or continued use of allegedly infringing Services after Helm AI has provided a non-infringing replacement, modification, or termination right.
If the Services become, or in Helm AI's opinion are likely to become, subject to an infringement claim, Helm AI may, at its option and expense: (a) procure for Customer the right to continue using the affected Services; (b) modify or replace the affected Services with substantially equivalent non-infringing functionality; or (c) terminate the affected Services and refund prepaid, unused fees for the terminated portion of the applicable Term.
Section 9.1 states Helm AI's sole liability, and Customer's exclusive remedy, for any infringement or misappropriation claim.
9.2 Indemnification Procedure
The Party seeking indemnification will: (a) promptly notify the indemnifying Party of the claim, except that delay will relieve the indemnifying Party only to the extent materially prejudiced; (b) grant the indemnifying Party sole control of the defense and settlement of the claim, except that the indemnifying Party may not settle any claim in a manner that admits fault of, imposes non-monetary obligations on, or otherwise adversely affects the indemnified Party without its prior written consent; and (c) provide reasonable cooperation at the indemnifying Party's expense. The indemnified Party may participate in the defense with counsel of its choosing at its own expense.
10. Limitation of Liability
10.1 Limitation
EXCEPT FOR CUSTOMER'S BREACH OF SECTION 2; EITHER PARTY'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT; EITHER PARTY'S BREACH OF ITS CONFIDENTIALITY OBLIGATIONS UNDER SECTION 6 OR DATA SECURITY OBLIGATIONS; OR CUSTOMER'S OBLIGATION TO PAY FEES DUE UNDER THIS AGREEMENT, (A) NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS INTERRUPTION, OR LOSS OR CORRUPTION OF DATA, ARISING OUT OF OR RELATED TO THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND (B) EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT WILL NOT EXCEED THE TOTAL FEES PAID OR PAYABLE BY CUSTOMER TO HELM AI UNDER THE ORDER FORM GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE FIRST EVENT GIVING RISE TO LIABILITY.
10.2 Supercap
NOTWITHSTANDING THE FOREGOING, EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO A BREACH OF ITS CONFIDENTIALITY OBLIGATIONS UNDER SECTION 6 OR ITS DATA SECURITY OBLIGATIONS UNDER THIS AGREEMENT OR INDEMNIFICATION OBLIGATIONS UNDER SECTION 9 WILL NOT EXCEED TWO TIMES (2X) THE TOTAL FEES PAID OR PAYABLE BY CUSTOMER TO HELM AI UNDER THE ORDER FORM GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE FIRST EVENT GIVING RISE TO LIABILITY. THE EXCLUSION OF CONSEQUENTIAL DAMAGES SET FORTH IN SECTION 10.1(A) SHALL CONTINUE TO APPLY TO ANY CLAIM SUBJECT TO THIS SECTION 10.2.
10.3 Essential Purpose
The limitations in this Section 10 apply regardless of the form of action and notwithstanding any failure of essential purpose of any limited remedy and reflect an agreed allocation of risk that forms an essential basis of the bargain between the Parties.
11. Publicity
Neither Party may use the other Party's name, logos, or trademarks in any public announcement, press release, marketing material, or customer list without the other Party's prior written consent, except that Helm AI may identify Customer by name and logo as a customer on Helm AI's website and marketing materials unless Customer opts out in writing.
12. Miscellaneous
Neither Party may assign or transfer this Agreement, in whole or in part, without the other Party's prior written consent, except that either Party may assign this Agreement without consent in connection with a merger, acquisition, corporate reorganization, or sale of substantially all of its assets, provided the assignee agrees in writing to be bound by this Agreement. Any prohibited assignment is void.
Helm AI may use subcontractors and subprocessors in connection with performance of the Services, provided that Helm AI remains responsible for their performance to the same extent as if performed by Helm AI.
All legal notices under this Agreement must be in writing and sent to the addresses first set forth above or in an Order Form or to such other address as a Party may designate by notice. Notices will be deemed given: (a) upon personal delivery; (b) one business day after dispatch by nationally recognized overnight courier; or (c) three business days after being sent by certified or registered mail, return receipt requested. Routine operational notices may be provided by email.
Neither Party will be liable for delay or failure to perform due to causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, civil unrest, governmental action, failures of internet service providers, or widespread cloud or utility outages, except that Customer's payment obligations are not excused by this Section.
This Agreement is governed by the laws of the State of Michigan, without regard to its conflict of laws rules. The state and federal courts located in Detroit, Michigan will have exclusive jurisdiction over any action arising out of or relating to this Agreement, and each Party irrevocably consents to such jurisdiction and venue.
No failure or delay by either Party in exercising any right under this Agreement will constitute a waiver of that right. A waiver is effective only if in writing and signed by the waiving Party. If any provision of this Agreement is held unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect.
This Agreement, together with all Order Forms and any exhibits or addenda expressly incorporated herein, constitutes the entire agreement between the Parties regarding its subject matter and supersedes all prior or contemporaneous agreements, proposals, and communications relating to that subject matter. Any amendment to this Agreement must be in writing and signed by both Parties.
This Agreement may be executed in counterparts, each of which will be deemed an original and all of which together form one instrument. Signatures exchanged electronically or by PDF will be deemed original signatures for all purposes.
